Firm Overview:
Philippi, Prietocarrizosa & Uría is the first ever major Ibero-American law firm, previously Philippi (Chile) and Prietocarrizosa (Colombia). Spanish and Portuguese Uría Menéndez acquired a 30% stake in the merger. The new firm has 220 lawyers and 140 members of staff with offices in Bogota and Barranquilla (Colombia) and Santiago (Chile). Main Areas of Practice:  

Banking & Finance:
Advising foreign and local banks in the most relevant international and domestic financing transactions in the market, in the areas of syndicated financing, asset financing and project financing. Compliance with stock market regulations and securities issuance in national and international markets.

Competition:
All aspects of antitrust, including investigations by authorities, litigation concerning cartels and abuse of dominance, consultations on M&A operations, settlements, audits on level of compliance and legal reports.

Corporate & M&A:
All aspects of corporate law, including business integrations, tax matters, structuring and implementing public tender offers and the acquisition and sale of listed companies, restructurings, national and crossborder mergers and acquisitions, spinoffs and business reorganisation proceedings. Structuring and formation of private equity funds, tax structures of private equity funds and acquisitions, share sales and contractual matters.

Energy, Mining & Natural Resources:
Oil and gas and mining regulations, drafting and preparation of contracts used in the related industries, preparation of bidding processes and all hydrocarbons and minerals processes. Advising the owners, assisting banks and financial institutions in the restructuring of financing packages and advising clients on acquisition and reorganisation processes. Advising throughout all the stages of the project, including the structuring of private projects, public bidding processes and PPPs, plural bidders, awarding processes, drafting and negotiation of material project documents (including SHAs, JVs, EPCs, BOMT, BOM, O&M, among others), project financing, both in the banking and capital markets and execution and O&M phases of the projects.

All aspects of intellectual property, patents, trademarks, industrial designs, utility models, copyrights, sports and entertainment matters, litigation, unfair competition, pharmaceutical licensing and health registrations.

Labour:
Litigation, collective bargaining, employee benefits, due diligence and audits, corporate restructuring, immigration, pensions, internal policies, wages and benefits, taxation, health and safety.

Litigation:
Prevention and resolution of disputes involving complex legal and technical issues for national and international clients spanning a wide range of industries in domestic and international institutional and ad hoc arbitration proceedings. Advising companies in bankruptcy and insolvency cases. Other services in this area including providing legal advice to national and foreign debtors and creditors in debt restructuring, either through single-party or joint proceedings and on the related liquidation processes, among others.

Long-term all-inclusive legal advice, in accordance with the highest international standards, for business families on the development of estate planning structures, allowing for the reallocation of assets among family members and the various generations. Public: Long-standing public law department advising a wide range of clients from the private and public sectors, such as governmental entities.

Real Estate:
Complex real estate matters such as shopping mall planning and construction, superstore construction, real estate trusts, real estate leasing, long term lease agreements, due diligence, real estate guarantees, regulatory issues and local permits.

Tax & International Trade:
Structuring domestic and international operations and transactions which involve matters related to foreign trade, customs and foreign exchange, tax planning and customs consulting. Structuring international and local transactions, tax planning for both Chilean and non-Chilean clients doing business in the country, representing local and foreign clients in litigation and transfer pricing matters, including advisory, tax planning and litigation.
